Role
We are seeking an experienced, business-minded legal leader to help scale Dinari’s legal, regulatory, and commercial capabilities. This person will be a key advisor to company leadership and a primary legal partner to product, compliance, operations, partnerships, and go-to-market teams. A central part of the role will be advising Dinari Securities LLC on broker-dealer regulatory matters, supervisory architecture, customer-facing products and disclosures, commercial relationships, and day-to-day legal issues arising from operating a regulated securities business.
The ideal candidate combines strong judgment, practical execution, and deep familiarity with U.S. securities regulation, especially as applied to broker-dealers, market infrastructure, fintech, and emerging asset rails.
What You'll Do
Serve as a senior legal advisor to Dinari and Dinari Securities LLC on product, regulatory, commercial, and strategic matters.
Advise on the legal and regulatory framework applicable to a FINRA-member broker-dealer, including broker-dealer conduct, supervision, books and records, licensing, regulatory exams, financial responsibility rules, and interactions with regulators.
Partner closely with compliance and business teams on supervisory structures, written supervisory procedures, escalation frameworks, controls, marketing review, customer disclosures, and governance processes.
Support legal analysis and implementation for brokerage products, securities offerings and distribution models, tokenized or digitally enabled financial products, and platform or API-enabled business lines.
Structure, draft, and negotiate commercial agreements, including distribution, clearing, custody, vendor, data, technology, and partnership agreements.
Advise on launch readiness for new products and features, identifying legal risk early and proposing practical paths to execution.
Help manage relationships with outside counsel and coordinate cross-functional responses to regulatory, transactional, and corporate matters.
Work with senior leadership to build scalable legal infrastructure for a fast-growing regulated fintech business.
What We're Looking For
Core Qualifications
J.D. from an accredited law school and active membership in at least one U.S. state bar.
At least 10 years of legal experience, with a meaningful portion in broker-dealer, capital markets, fintech, securities, or financial regulatory work.
Significant experience at a top law firm, in-house legal department, regulator, or a combination of these.
Deep working knowledge of the Securities Act, Exchange Act, broker-dealer regulation, FINRA rules, SEC rules, and regulatory expectations for a securities intermediary. SEC
Demonstrated experience advising a broker-dealer, alternative trading, custody, capital markets, wealth, or other regulated financial services business.
Strong experience drafting and negotiating complex commercial agreements and advising on product development.
Proven ability to translate legal and regulatory requirements into practical business guidance.
Strongly Preferred
Direct in-house experience supporting a FINRA-member broker-dealer.
Experience with introducing broker-dealer models, clearing/custody relationships, and operational/legal interfaces with third-party providers.
Familiarity with Regulation Best Interest, broker-dealer disclosures, books-and-records requirements, supervision, and examination readiness.
Experience in fintech, digital assets, tokenized securities, market infrastructure, or modern financial product architecture.
Comfort working in ambiguous, high-growth environments where legal must move quickly without sacrificing rigor.
Some experience or understanding of global securities regulatory schemes.
